Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of URUK Gate's website at urukgate.co.uk and any services we provide. By booking a call, making a payment, or engaging our services, you agree to these Terms.

URUK Gate is a web and mobile app development business based in the United Kingdom. If you have questions about these Terms, contact us at hello@urukgate.co.uk.

2. Our Services

URUK Gate provides the following digital services:

• →Starter Website: a professional, single-page or small business website
• →Business Website: a full multi-page website with advanced features
• →Mobile App: a native or hybrid mobile application for iOS and/or Android
• →Business Automation: custom workflow automation and integrations
• →Strategy Consultation: a paid Discovery Call to review your digital needs

The exact scope of each project is agreed in writing before work begins. Nothing outside the agreed scope will be delivered without an updated written agreement.

3. Discovery Call & Admin Fee

A £10 non-refundable admin fee is charged to book a Discovery Call. This fee is applied to filter serious enquiries and covers our time in preparing for the call. It is not a deposit towards any future project.

Attending the Discovery Call does not commit either party to a project. No work will begin until a separate agreement and payment have been made.

4. Payments & Pricing

• →Payment processor: All payments are processed securely by Stripe. URUK Gate does not store card details.
• →Project deposit: A 50% deposit is required before project work begins. The remaining 50% is due on completion, before the final deliverable is handed over.
• →Currency: All prices are in British Pounds Sterling (GBP) and include VAT where applicable.
• →Late payment: Overdue balances may incur a late payment charge of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.

5. Refunds & Cancellations

• →Discovery Call fee (£10): Non-refundable under any circumstances.
• →Project deposit (50%): Refundable if you cancel within 48 hours of payment and before any work has commenced. After work begins, the deposit is non-refundable.
• →Final payment: Non-refundable once the deliverable has been handed over and accepted.
• →Cancellation by URUK Gate: If we cancel a project before completion (other than for client breach), we will refund all payments made for work not yet delivered.

6. Delivery & Timelines

Estimated delivery timelines are provided at the start of each project. These are estimates, not guarantees. Delays caused by the client (e.g. late provision of content, feedback, or approvals) will not be the responsibility of URUK Gate and may extend the delivery timeline accordingly.

We will communicate any significant delays proactively and work to minimise their impact.

7. Client Responsibilities

To enable us to deliver your project, you agree to:

• ✓Provide all required content, assets, and information in a timely manner
• ✓Review and respond to feedback requests within an agreed timeframe
• ✓Ensure you have the legal right to use any content or materials you provide
• ✓Not use our services for any unlawful, harmful, or fraudulent purpose

8. Intellectual Property

• →Ownership on completion: Once final payment is received, you own the delivered website or app code for your project. You may use, modify, and distribute it freely.
• →Third-party components: Some projects may include open-source libraries or third-party components that are subject to their own licences. URUK Gate will make these clear.
• →Portfolio rights: We reserve the right to display your completed project in our portfolio and marketing materials, unless you request otherwise in writing.
• →URUK Gate IP: Our brand, logo, and any tools or frameworks we developed independently remain our intellectual property.

9. Limitation of Liability

To the fullest extent permitted by law, URUK Gate's total liability to you for any claim arising from our services shall not exceed the total amount you paid for the specific project in question.

We are not liable for any indirect, incidental, or consequential loss (including loss of revenue, data, or business opportunity) arising from your use of our services or deliverables.

Nothing in these Terms limits our liability for fraud, death, personal injury caused by our negligence, or any other matter that cannot legally be excluded.

10. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of a project. This includes business plans, pricing information, and technical details. This obligation survives the end of the project.

11. Termination

Either party may terminate a project engagement by giving written notice. If you terminate after work has commenced, you will be invoiced for all work completed up to the date of termination, calculated on a pro-rata basis.

URUK Gate may terminate immediately if you breach these Terms or engage in conduct that we deem harmful, abusive, or unlawful.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page will reflect any changes. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
